COURSE OBJECTIVES:
The course uses cases studies to identify failures in corporate governance and discusses the lessons learned. How these have shaped modern legislation, codes of practice together with the accountability of corporations and their employees.

- Agency Theory – the inherent conflict between owners and manages;
- Failures in corporate governance;
- An overview of legislation and regulation designed to combat corporate crime.
- Offences, defences and penalties.
- The responsibilities of Directors, managers and employees.
